RTB Digital (RTB) completed a reverse merger this week that marks one of those rare shell-to-operating-company transformations worth paying close attention to. On May 12, RTB Digital merged with the former Ryvyl Inc., issuing 4.38 million shares to RTB's former shareholders and birthing what management is positioning as a Web3 media platform company focused on serving major media brands and premium clients. This is the real deal—not a shell sitting around hoping something happens, but an actual operating business with a defined market and client base moving into the NASDAQ ecosystem. If you've been watching the under-five space for a while, you know these kinds of pivots are pivotal moments (pun intended). RTB is definitely one to add to your research list.
But RTB wasn't the only company getting serious about transformation this week. We saw nine Super 8-Ks filed altogether—a cluster that tells us the M&A and consolidation machinery is spinning overtime in the small-cap arena. Nocopi Technologies (NNUP) closed on the acquisition of substantially all assets from Polymeric U.S., Inc., a specialized ink and coating solutions manufacturer, for $2.65 million in mixed consideration. Quince Therapeutics (QNCX) completed a two-step merger with Orphai Therapeutics, issuing 3.26 million shares of common stock plus preferred shares to make it happen. Over in healthtech, Healthy Extracts (HYEX) acquired Adli Gummies Inc.—doing business as Imaraÿ's Beauty—for about $794,000 in secured notes plus three million shares. These deals matter because they show real capital deploying into revenue-generating assets, not financial engineering for its own sake.
On the technical side, we're seeing some interesting momentum crossovers lighting up the tape. SafeSpace Global (SSGC) saw a particularly juicy EMA cross on May 22 with volume of 945,649 shares against a fifty-day average of just 119,903—that's nearly eight times the typical daily flow. Nocopi (NNUP) also showed up on our crossover list after closing that acquisition, with volume nearly seventeen times its average. When you see volume that compressed relative to trend, it often means institutional money is either entering or exiting with purpose. HCWB (HCW Biologics) generated eye-popping volume numbers too—over 394 million shares traded on its crossover day, though that's likely a function of price and share structure rather than a sudden avalanche of buying interest. Spero Therapeutics (SPRO) more than doubled its average daily volume on its signal, which feels more organic and worth monitoring.
The broader tape painted a picture of a market that's working through a substantial amount of M&A and corporate housekeeping. We tallied up 614 regular 8-K filings across our universe of roughly 2,200 companies this week, which is entirely typical for a full trading week. But we did see some compliance hiccups worth noting: Envoy Medical (COCH, COCHW) got dinged with a second Nasdaq notice for failing to maintain a minimum $1.00 bid price—that's a yellow flag for holders.
